He is archly polite in his open letter to new Yahoo board member Carl Icahn. But his message is as subtle as a hammer to the head: Icahn is in deep trouble. Hamstrung by Sarbanes-Oxley regulations and fiduciary duties to shareholders, the feisty corporate raider will have to behave impeccably, lest shareholders or regulators sue him.
